Company to call on AMF to initiate squeeze-out procedure for all outstanding shares in Lafarge

THE Autorité des marchés financiers (AMF) has published the final results of the reopened public exchange offer initiated by LafargeHolcim Ltd (formerly Holcim Ltd) for the shares of Lafarge SA. An additional 25,901,191 Lafarge shares were tendered during the reopened offer period.

Following the settlement-delivery of the reopened offer, which is expected to occur today (4 August 2015), LafargeHolcim will hold 278,131,864 Lafarge shares representing 96.41% of the share capital and at least 95.25% of the voting rights of Lafarge SA.

 

However, having surpassed the necessary 95% threshold in share capital and voting rights, and following a decision by the board of directors, LafargeHolcim have decided to initiate a squeeze-out process for all issued and outstanding shares of Lafarge SA.

The company therefore plans to call on the AMF to implement a squeeze-out procedure, pursuant to its general regulations, for all Lafarge shares not tendered to the public exchange offer. Further details on the squeeze-out will be provided upon filing with the AMF.
